  1. ELECTRIC ARC LLC ("Electric Arc") IS WILLING TO LICENSE
  2. THE SOFTWARE PROGRAM KNOWN AS "TELEFFECT" (the
  3. "Software") TO YOU ONLY UPON THE CONDITION THAT
  4. YOU ACCEPT ALL OF THE LICENSE TERMS ("License Terms")
  5. CONTAINED IN THIS LICENSE AGREEMENT ("Agreement").
  6. INSTALLING OR OTHERWISE USING THE SOFTWARE 
  7. INDICATES YOUR ACCEPTANCE OF THE LICENSE TERMS. 
  8. READ THE LICENSE TERMS CAREFULLY.  IF YOU DO NOT 
  9. AGREE TO BE BOUND BY THE TERMS OF THIS 
  10. AGREEMENT, DO NOT INSTALL THE SOFTWARE ON YOUR 
  11. SYSTEM, AND DESTROY THIS COPY OF THE SOFTWARE, 
  12. AND CONTACT YOUR VENDOR.
  13.  
  14. Applicability.  The terms of this Agreement govern your
  15. use of the Software, unless you received the Software
  16. from an authorized third-party vendor that provided you
  17. with a separate end-user license agreement governing
  18. the use of the Software.  In such case, the terms of
  19. that end-user license agreement govern your use of the
  20. Software.
  21.  
  22. License Grant.  You may use one (1) copy of the
  23. Software as a Master for each unexpired license of the
  24. Software that you have purchased.  You may use an
  25. unlimited number of copies of the Software as Slaves.
  26. Use as a "Master" means storing, loading, installing,
  27. executing, or displaying a copy of the Software
  28. configured as a Master as that term is defined in the
  29. User's Guide.  Use as a "Slave" means storing, loading,
  30. installing, executing, or displaying a copy of the
  31. Software configured as a Slave as that term is defined
  32. in the User's Guide.  The User's Guide is installed
  33. with the Software and available on the Electric Arc Web
  34. site at: http://www.electricarc.com
  35.  
  36. Ownership.  The Software is owned and copyrighted by
  37. Electric Arc.  Your license confers no title to, or
  38. ownership in, the Software and is not a sale of any
  39. rights in the Software.
  40.  
  41. Disclaimer of Warranty.  ELECTRIC ARC EXPRESSLY
  42. DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, 
  43. EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF
  44. MERCHANTABILITY, FITNESS FOR A PARTICULAR 
  45. PURPOSE, AND NON-INFRINGEMENT.  ELECTRIC ARC 
  46. DOES NOT WARRANT THAT THE SOFTWARE WILL BE 
  47. ERROR-FREE OR OPERATE WITHOUT INTERRUPTION.  
  48. UNDER NO CIRCUMSTANCE SHALL ELECTRIC ARC BE 
  49. LIABLE FOR ANY INCIDENTAL, SPECIAL, OR 
  50. CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, 
  51. BUT NOT LIMITED TO, LOST PROFITS OR LOSS OF 
  52. BUSINESS, FOR BREACH OF WARRANTY, EVEN IF 
  53. ELECTRIC ARC HAS BEEN ADVISED ABOUT THE 
  54. POSSIBILITY OF SUCH DAMAGE.
  55.  
  56. Copies.  You may copy the Software for archival
  57. purposes or when copying is an essential step in the
  58. authorized use of the Software as a Master or Slave.
  59.  
  60. No Reverse Engineering.  You may not reverse engineer,
  61. decompile, or disassemble the Software.
  62.  
  63. Transfer.  Your license will automatically terminate
  64. upon any transfer of the software.  Upon transfer, you
  65. must deliver the Software and all copies of the
  66. Software and related documenation to the transferee.
  67. The transferee must accept these License Terms as a
  68. condition of the transfer.
  69.  
  70. Termination.  Your license will automatically terminate
  71. upon your failure to comply with any of the License
  72. Terms.  Upon termination, you must immediately destroy
  73. the Software, together with all copies and related
  74. documenation.
  75.  
  76. Export Requirements.  You may not export or re-export
  77. the Software or any copy of the Software in violation
  78. of any applicable laws or regulations.
  79.  
  80. U.S. Government Restricted Rights.  The Software and
  81. related documentation have been developed entirely at
  82. private expense.  If you are a purchasing the Software
  83. for use by a U.S. Government agency or for use by a
  84. contractor operating under a U.S. Government contract,
  85. in accordance with FAR 12.212 you acknowledge that your
  86. use and duplication the Software are governed by, and
  87. subject to, this Agreement.  If for any reason, FAR
  88. 12.212 is not applicable, you acknowledge that use and
  89. duplication of the Software are subject to the
  90. Commercial Computer Software Restricted Rights clause,
  91. FAR 52.227-19.  You have only those rights provided for
  92. the Software and related documentation by the
  93. applicable FAR or agency FAR supplement clause or this
  94. Agreement.
  95.  
  96. Miscellaneous.  This Agreement is governed by the laws
  97. of the State of California, excluding its choice of law
  98. provisions.  Venue is proper in the County of Santa
  99. Clara, California.  This Agreement is the entire
  100. agreement between you and Electric Arc; any
  101. modification of this Agreement must be in writing
  102. signed by you and an authorized representative of
  103. Electric Arc.  If Electric Arc fails to enforce any
  104. provision of this Agreement, or any right in respect
  105. thereto, such failure shall not be a waiver of such
  106. right.  If any part of this Agreement is found to be
  107. invalid or unenforceable, that part shall be enforced
  108. to the maximum extent permitted by law, and the
  109. remainder of this Agreement shall remain intact and in
  110. full force.  All headings of the sections and
  111. paragraphs of this Agreement are for reference purposes
  112. only and do not form a part hereof.
